Here is what you need to know in 2025.</p><h2>Choosing the Right Business Structure</h2><p><strong>Private Limited Company (Pvt Ltd):</strong> The most popular structure for startups and growing businesses. It offers limited liability, easy fundraising, and a credible corporate identity. Requires a minimum of 2 directors and 2 shareholders. Ideal for businesses planning to raise investment or scale rapidly.</p><p><strong>Limited Liability Partnership (LLP):</strong> A hybrid between a partnership and a company. Partners enjoy limited liability while retaining the flexibility of a partnership. Lower compliance burden than a Pvt Ltd. Best suited for professional services firms, consultancies, and small businesses.</p><p><strong>One Person Company (OPC):</strong> Introduced in 2013, OPC allows a single entrepreneur to run a company with limited liability. Only one director and one shareholder required. Ideal for solo founders and freelancers who want corporate status without a co-founder.</p><h2>Documents Required for Company Registration</h2><p>For all structures, you will need: PAN and Aadhaar of all directors/partners, passport-size photographs, address proof (bank statement or utility bill not older than 2 months), and proof of registered office address (rent agreement + NOC from owner, or ownership documents).</p><p>Foreign nationals and NRIs require additional documents: passport copy, overseas address proof, and apostilled/notarised documents depending on the country of residence.</p><h2>Step-by-Step Registration Process</h2><p><strong>Step 1 — Digital Signature Certificate (DSC):</strong> All proposed directors must obtain a Class 3 DSC from a certified authority. This is used to digitally sign all MCA filings.</p><p><strong>Step 2 — Director Identification Number (DIN):</strong> Each director must have a DIN, which is applied for through the SPICe+ form on the MCA portal.</p><p><strong>Step 3 — Name Approval:</strong> Apply for name reservation through the RUN (Reserve Unique Name) service or directly in the SPICe+ form. The name must comply with MCA naming guidelines.</p><p><strong>Step 4 — SPICe+ Filing:</strong> The Simplified Proforma for Incorporating Company Electronically Plus (SPICe+) is the single integrated form for company incorporation. It covers name reservation, DIN allotment, PAN, TAN, GSTIN, EPFO, ESIC, and bank account opening in one go.</p><p><strong>Step 5 — Certificate of Incorporation:</strong> Once the ROC (Registrar of Companies) approves the application, a Certificate of Incorporation (CIN) is issued digitally. This is your company's birth certificate.</p><h2>Post-Incorporation Compliance</h2><p>After incorporation, you must: open a current bank account, deposit the subscribed share capital, file INC-20A (declaration of commencement of business) within 180 days, and appoint a statutory auditor within 30 days.</p><p>Annual compliance includes filing of financial statements (AOC-4), annual return (MGT-7), and income tax return.
